Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at bitshifthq.com and all products and services offered by BitShift LLC ("BitShift", "we", "our", or "us"), including Raven and Rivix (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Eligibility

You must be at least 13 years of age to use our Services. By using our Services, you represent that you meet this requirement. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Accounts

Some of our Services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account information up to date
• Notify us immediately at hello@bitshifthq.com if you suspect unauthorized access to your account
• Accept responsibility for all activities conducted through your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe are being used fraudulently.

3. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services to violate any applicable law or regulation
• Transmit, store, or distribute content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to any part of the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Use automated tools (scrapers, bots, crawlers) against our Services without prior written permission
• Reverse engineer, decompile, or disassemble any part of the Services, except as permitted by law
• Use the Services to transmit unsolicited commercial communications (spam)
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

4. Subscriptions and Payment

Certain Services may be offered on a paid subscription basis. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis for the applicable fees.

• Billing cycle. Subscriptions are billed monthly or annually, depending on the plan you select. Your subscription will automatically renew at the end of each billing period unless you cancel.
• Pricing changes. We reserve the right to modify subscription pricing. We will provide at least 30 days' notice before any price change takes effect. Continued use of the Service after the notice period constitutes acceptance of the new pricing.
• Refunds. Payments are generally non-refundable. If you believe you have been charged in error, contact us within 14 days at hello@bitshifthq.com.
• Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the period ends.

5. Intellectual Property

All content, design, code, trademarks, and materials comprising the Services are owned by or licensed to BitShift LLC and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services beyond the limited license to use them as described herein.

Open-source components of our products (such as libghostty) are licensed under their respective open-source licenses, which are specified in the relevant repositories.

You retain ownership of any content you create or upload through our Services. By uploading content, you grant BitShift a limited, non-exclusive, royalty-free license to use, store, and display that content solely to provide the Services to you.

6. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using our Services, you consent to the collection and use of your data as described in the Privacy Policy.

7. Third-Party Services

Our Services may integrate with or link to third-party services (such as cloud providers, payment processors, or SSH hosts you connect to). We are not responsible for the content, privacy practices, or reliability of any third-party service. Your use of third-party services is governed by their respective terms and policies.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE.

We do not warrant that the Services will be error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BITSHIFT LLC AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $50 USD, WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless BitShift LLC and its officers, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Services will immediately cease.

Sections 5 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law) survive termination of these Terms.

12. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. For significant changes, we will provide advance notice by email or in-product notification where practicable. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

13. Governing Law and Disputes

These Terms are governed by the laws applicable to BitShift LLC's jurisdiction. Any dispute arising from or relating to these Terms or the Services will first be subject to informal resolution by contacting us at hello@bitshifthq.com. If informal resolution fails, disputes will be resolved by binding arbitration or in courts of competent jurisdiction, as applicable under governing law.

14. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms for specific Services, constitute the entire agreement between you and BitShift LLC regarding the Services and supersede all prior agreements and understandings.
